Corporate Governance and Ethical Policies
First National Bank of the Gulf Coast adheres to the following ethical policies in daily operations, decision-making, and policy creation.
Audit Committee Charter
This charter governs the operations of the First National Bank of the Gulf Coast Audit Committee. The Committee shall review this charter on an annual basis and recommend any proposed changes to the Board of Directors.
The Committee shall be comprised of not fewer than three members of the Board, and the Committee’s composition shall satisfy the requirements of the rules of the New York Stock Exchange (the “Exchange”), Section 10A(m)(3) of the Securities Exchange Act of 1934 (the “Exchange Act”), the rules and regulations of the Securities and Exchange Commission (the “Commission”) and the requirements under applicable banking laws and regulations. Accordingly, all of the members shall be directors:
In addition, at least one member of the Committee shall be an “audit committee financial expert,” as defined by the Commission, and at least two members shall have “banking or related financial management expertise,” as defined in 12 CFR Part 363 of the Federal Deposit Insurance Corporation regulations. The members of the Committee shall be appointed by the Board, and Committee members may be replaced by the Board. Committee members shall not serve on more than two other public company audit committees, unless the Board determines that simultaneous service would not impair the ability of the Committee member to serve effectively on the Committee and the Board discloses such determination in the Company’s annual proxy statement. The Committee shall report the results of its activities to the Board of Directors.

The following shall be the principal duties and responsibilities of the Committee. These are set forth as a guide with the understanding that the Committee shall have the discretion to conduct activities in addition to those listed herein as it deems appropriate given the circumstances.

| Gary L. Tice |
Mr. Tice is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. Director and organizer
of FNB, Mr. Tice is the Chairman and Chief Executive Officer of the bank. Mr.
Tice has been involved in banking in the State of Florida for more than 30
years. Most recently, he served as Chairman of First National Bankshares of
Florida, Inc., a Naples-based financial services company with $5.3 billion in
assets and 77 full-service banking centers. First National Bankshares was the
largest publicly traded bank holding company headquartered in the State of
Florida when it was acquired by Fifth Third Bancorp in 2005. Prior to that, Mr.
Tice was president and chief executive officer of F.N.B. Corporation, a
diversified financial services holding company with offices in Florida,
Pennsylvania, Ohio and Tennessee. During his tenure with F.N.B. Corporation, the
company grew to more than $8.1 billion in total assets. In 2004, F.N.B.
Corporation spun off its Florida banking operations into a separate company, of
which Mr. Tice became chairman and chief executive officer. In addition, Mr.
Tice and director Garrett Richter were founding directors and organizers of
First National Bank of Naples, where he served as chairman and chief executive
officer of the company prior to its affiliation with F.N.B. Corporation in 1997.
Mr. Tice has held senior management positions with a number of other Florida banks, including Citizens National Bank of Naples, where he was an organizing director, president and chief executive officer, Sun Bank of Naples, as its executive vice president and chief administration officer and Flagship National Bank of Naples, as its executive vice president. In 2003, Mr. Tice was honored as a finalist for the Financial Services category in the Ernst & Young Entrepreneur of the Year Florida Awards program. He was chosen by an independent panel of judges for outstanding leadership and consistent growth of F.N.B. Corporation. In 1998, Mr. Tice was named to the Collier County Junior Achievement Business Leadership Hall of Fame for service as a “champion of free enterprise.” A native of Sharpsville, Pennsylvania, Mr. Tice is a graduate of Youngstown State University with a B.S. degree in industrial management. Mr. Tice has held leadership roles in a number of local, state and national organizations over the years, and is a past director of the American Bankers Association (ABA), a past member of the Administrative Committee of the Community Bankers Council of the ABA, a past director of the Florida Bankers Association and a past member of the Financial Services Roundtable. He is also a graduate of the Leadership Collier program. |
| Garrett S. Richter |
Director and organizer of FNB, is the proposed president of the combined bank.
He represents District 37 in the Florida State Senate. He was elected to this
role in November 2008, after serving one term in the Florida House of
Representatives. Senator Richter is the Chairman of the Senate Committee on
Banking and Insurance, and is also a committee member of the Policy and Steering
Committee on Commerce and Industry and the Select Committee on Florida’s
Economy. Prior to his public service, Senator Richter Was a founder and former
president and chief executive officer of First National Bank of Florida, which
was acquired in 2005 by Fifth Third Bancorp. Senator Richter began his banking
career in the 1970s with Mellon Bank. He is a founding trustee of the Quest for
Success program that focuses on improving the life of a child through education.
Additionally, Senator Richter is a past board member of the Chamber of Commerce,
the Collier County Education Foundation, and the Economic Development Council.
He is an alumni and past Board of Regents member for Leadership Florida and past
chairman of Leadership Collier. He is also an ordained elder in his church.
Senator Richter served with the 75th Ranger Company in Vietnam, where in 1971 he
was awarded a Bronze Star. He also served in the Air Force Reserves. Senator
Richter is a graduate of the University of Pittsburgh and the Graduate School of
Banking at Madison, Wisconsin. He currently lectures at LSU Graduate School of
Banking and the Florida School of Banking at the University of Florida. of First
Baptist Church – Naples, and has served as a director and treasurer of the
Sunrise Children’s Foundation since 1984.

| Robert T. Reichert |
Mr. Reichert attended the initial board meeting of First National Bank of the
Gulf Coast in organization on April 17, 2008. Mr. Reichert is Senior Executive
Vice President and Chief Administrative Officer and is an honorary director and
organizer of FNB. Mr. Reichert has held various management positions within the
financial industry. Most recently, Mr. Reichert held the position of executive
vice president and chief financial officer of Lydian Trust Company, from October
2005 through August 2007. After spending 12 years with Ernst & Young LLP, he
joined F.N.B. Corporation in 1996 and held the position of senior vice president
and controller, and was responsible for holding company and affiliate bank
financial accounting, reporting and asset and liability management. In 2003 Mr.
Reichert was appointed senior vice president and chief financial officer of
First National Bankshares of Florida prior to its spin-off from F.N.B.
Corporation on January 1, 2004. In January 2005, First National Bankshares of
Florida was acquired by Fifth Third Bancorp. At that time Mr. Reichert was named
senior vice president and affiliate chief financial officer for the Florida
market. He remained with Fifth Third Bank through August 2005. Mr. Reichert
obtained his B.S. degree from Clarion University of Pennsylvania, and was a
certified public accountant from 1987-2000. |
| C.C. Coghill |
Mr. Coghill attended the initial board meeting of First National Bank of the
Gulf Coast in organization on April 17, 2008. Mr. Coghill is Senior Executive
Vice President and Chief Credit Officer of the Bank and is an honorary director
and organizer of FNB. Mr. Coghill has been involved in the banking industry for
over forty years. He began his career as a national bank examiner and has held
various management level positions within the industry including chief credit
officer of F.N.B. Corporation and executive credit officer of First National
Bank of Florida. Mr. Coghill also served as area president and senior loan
officer for Community National Bank. While Mr. Coghill was chief credit officer
of First National Bank of Florida, the bank earned the highest credit quality
rating awarded by the OCC for banks with assets between $3 billion and $20
billion. Mr. Coghill is a graduate of East Carolina University with B.A. degree
in business administration. He was the past chairman of Group 9 and a past
council member of the Florida Bankers Association. He served as president and on
the advisory board of the Southwest Florida AIB Chapter and also as the
president of the Southwest Florida Bank Executives Roundtable. Mr. Coghill is
also active in the community and has served as the treasurer of the United Way
of Lee County, treasurer of the Pelican Bay Rotary Club, and finance chairman of
the North Naples United Methodist Church. |
| Terry Read Walston |
Executive Vice President of the bank. Date of hire is November 10, 2008. Has
held various management positions during her 30 years in the Collier County
banking industry. Mrs. Walston has held positions in finance, loan operations
and deposit operations. However, most recently Mrs. Walston served outside of
banking as Chief Financial Officer for Allen Concrete & Masonry, Inc., a leading
local masonry subcontractor. Prior to joining Allen Concrete & Masonry, Inc. in
2006; Mrs. Walston held the position of Senior Vice President and Chief
Financial Officer for Orion Bank. Previously, Mrs. Walston spent 14 years with
First National Bank of Florida. Mrs. Walston initially held the position of
Senior Vice President and Chief Financial Officer of the then affiliate bank,
First National Bank of Naples. Subsequently, Mrs. Walston held various
management positions with the bank and its parent company, First National
Bankshares of Florida. Mrs. Walston holds an Associates Degree in Banking and
Finance and is a graduate of the Bank Administration Graduate School of Banking. |
| Peter Setaro |
Executive Vice President and Chief Information Officer of the Bank. Date of hire
is July 7, 2008. Mr. Setaro has over 23 years of banking experience in southwest
Florida. Mr. Setaro has held position in finance, operations and information
technology. Mr. Setaro spent the past two years as EVP of Technology and
Operations for Bank of Florida, which purchased his previous employer, Old
Florida Bank. Mr. Setaro held the position of SVP of Operations during his three
years with Old Florida Bank. Previously, Mr. Setaro spent over seven years at
First National Bank of SW Florida in the finance and operations divisions, this
bank was purchased by FNB Corp in 1997. He joined First National Bank of SW
Florida’s affiliate Cape Coral National Bank and was appointed SVP and Chief
Financial Officer. In 2001, Mr. Setaro joined the holding company ( First
National Bank of SW Florida Corporation) and held the position of SVP of
Information Technology Systems. Mr. Setaro attended St. Johns University in
Staten Island, N.Y. |
| Ronald Rucker |
Executive Vice President and Senior Loan Officer of the Bank. Date of hire is
January 5, 2009. Mr. Rucker has over 35 years banking experience in Collier
County. Most recently, Mr. Rucker served as the President and CEO of Hillcrest
Bank, Florida located in Naples. This is a position that he held for over two
years. Prior to that position, he spent over 10 years with First National Bank
of Florida as EVP and Senior Lender. When First National merged with Fifth Third
Bank in 2005, Mr. Rucker stayed on for eight months as SVP of the lending
division to assist with the merger. Throughout Mr. Rucker’s career, he has held
positions in commercial, consumer and residential lending. Mr. Rucker is a
graduate of the Florida School of Banking. Mr. Rucker has lived in the Naples
community for over 42 years and has been very active within the community by
volunteering for numerous organizations. |
| Nancye Hire |
Executive Vice President and Director of Loan Operations for the bank. Date of
hire is July 7, 2008. Mrs. Hire has 27 years of banking experience in Southwest
Florida, all in lending and loan operations. Mrs. Hire held the position of
Senior Vice President in charge of Loan Operations at Orion Bank from July 2005
until July 2007, when she joined the First National Bank of the Gulf Coast in
organization. Prior to that, Mrs. Hire was employed with First National Bank of
Florida, from its inception as First National Bank of Naples in 1989 until the
bank merged with Fifth Third Bank in 2005. During the fifteen years with First
National Bank of Florida, Mrs. Hire was in charge of all aspects of loan
operations for the company as well as assisting in the assimilation and
conversion of acquired banks. Mrs. Hire obtained an Associate’s Degree from
Parks Business College in Denver, Colorado. Mrs. Hire has lived in the Naples
community for 30 years. |
| Brenda Dolan |
President – Lee County and Senior Vice President. Date of hire is April 2, 2007.
Ms. Dolan has served as Senior Vice President & Chief Credit Officer since
joining PCB in April 2007. Prior to joining PCB, Ms. Dolan served as Senior Vice
President, Senior Loan Officer and Senior Credit Officer at Marco Community Bank
, a community bank based on Marco Island FL, from 2005 to March 2007. From,
2003-2005, Ms. Dolan served as Vice President, Relationship Banker and Medical
Financial Specialist for Lee and Collier Counties to target and grow a medical
financial client base. Ms. Dolan holds a certificate in Accounting and Finance
from Nashua Business College. She has completed the Commercial Banking and
Commercial Lending Program at the New England School of Banking, Williams
College, as well as numerous banking and management courses and seminars offered
by the American Institute of Banking. |
| Tracy L. Coghill |
Chief Legal Counsel and Sr. Vice President of First National Bank of the Gulf
Coast. Date of hire is August 4, 2008. Ms. Coghill is a Florida Bar Association
Board Certified Real Estate Attorney who has been practicing law in Southwest
Florida since 1996 with several well-known and respected law firms and
corporations. Mrs. Coghill began her career with the law firm of Cottrell,
Warchol, Merchant & Rollings before joining F.N.B. Corporation in 2002 as
Corporate Counsel and President of West Coast Title Insurance Company. In 2003,
she became General Counsel for First National Bankshares of Florida. After the
First National Bankshares of Florida merger with Fifth Third Corporation, Mrs.
Coghill joined the law firm of Treiser, Collins & Vernon. Mrs. Coghill is a
graduate of Florida State University and received her juris doctorate, cum
laude, from Mercer University Walter F. George School of Law. Mrs. Coghill is
very active in the local community and currently serves on the Naples Branch
Board of the Y.M.C.A. of the Palms and is a former Board Member of Big Brothers
Big Sisters of Southwest Florida. She is a member of the Florida Bar
Association, the Collier County Bar Association and the Florida Bankers’
Association. Mrs. Coghill is a graduate of the Greater Naples Chamber Leadership
Collier Class of 2008, Leadership Cape Coral and Leadership Fort Myers. |
| Philip Nemni |
Senior Vice President and Treasurer of the Bank. Date of hire is December 31,
2006. Mr. Nemni previously served as Senior Vice President & Chief Financial
Officer of Panther Community Bank since December 2006. Prior to joining PCB, Mr.
Nemni served as Senior Vice President- Chief Financial Officer for Bank of
Naples, a community bank based in Naples FL, from 2005 to 2006. From 2000 to
2005, Mr. Nemni served as Vice President & Director – Budget & Information
Analysis for First National Bank of Florida where he was responsible for
designing and implementing a complete planning process for the bank, as well as
establishing a comprehensive accounting system for First National Trust Company.
Mr. Nemni holds a Bachelor of Science degree in Neurophysiology and a Master of
Business Administration degree from McGill University. He is also a registered
Certified Public Accountant. |

He is currently the president of the following companies: Brewer Carpet and Design Center, Inc.; Stone Mountain of Oklahoma, LLC; Floors Now, LLC; and ProSource of Oklahoma City. Mr. Brewer’s Carpet One store has been named Store of the Year twice, out of approximately 600 stores, by the Carpet One Floor and Home Company. In addition, he is also involved with various property companies and serves as the president of Tobor, LLC, TRS Investments, West Hill Properties, Mega Properties and Tojo, Inc. These businesses are located in Oklahoma. While earning his B.A. degree from Gettysburg College, Mr. Brewer was also the captain of the football team and president of the Sigma Chi Fraternity. Mr. Brewer serves on the board of directors for CCA Global, one of the largest purchasers of flooring in the world and franchiser of various flooring and other businesses. Mr. Brewer along with his wife, Kathy, are co-chairpersons for the Bridget Brewer Memorial Scholarship. |

Brian E. Cobb |
Mr. Cobb is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. Mr. Cobb is the
president and principal shareholder of CobbCorp, a media merger and acquisition
company, representing clients in the television and radio segments of media. Mr.
Cobb has more than 35 years of experience in the broadcast industry as an owner,
manager and broker, and was a principal and founder of Media Venture Partners
before founding CobbCorp. Over the last 25 years, he has brokered more than $5
billion in radio and television properties, and has been involved in the
brokerage of more television stations than any other individual broker in the
industry. Previously, Mr. Cobb served as executive vice president of General
Electric Broadcasting Company and general manager of their AM/FM/TV combos in
Denver and Nashville. He was the most often promoted manager during his
thirteen-year term with General Electric Broadcasting. In addition, Mr. Cobb is
a trustee for Florida Gulf Coast University. He is also a founder of the Naples
Children and Education Foundation, which has raised over $70,000,000 for local
children’s charities in its first seven years. In 2002, Gulfshore Life Magazine
named him “Man of the Year”. For his civic endeavors, Mr. Cobb was named
Philanthropist of the Year on National Philanthropy Day in Southwest Florida in
2004. Mr. Cobb is a member of Beta Gamma Sigma, an honorary business fraternity,
and was a Jaycees Outstanding Young Man of the Year. He has served on the board
of directors of the Colorado and Tennessee Broadcaster’s Association and the
Vanderbilt Children’s Hospital. Mr. Cobb has also served on panels for many
trade organizations including the National Association of Broadcasters and
National Association of Television Program Executives, as well as being a past
president of the National Association of Media Brokers. Mr. Cobb obtained his
B.A. degree in business from University of Nevada.style26">Mr. Davis is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. He serves as president
of Edgar E. Davis, P.A., which has been involved in southwest Florida real
estate sales since 1981. Mr. Davis is also president of Davis Solutions, Inc., a
Florida real estate investment and management corporation. He also serves as
trustee of the Edgar E. Davis Foundation. Mr. Davis is quite familiar with the
growth and development of southwest Florida as he has resided in the area for
over 50 years and has been licensed as real estate salesman or broker for 37
years. Mr. Davis is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. He is the chief
executive officer of Jefferson Davis Research, Inc., a research and consulting
firm. He has provided services to over 300 leading U.S. and foreign business
organizations. Twenty-nine of his forty-two years in the marketing research
field have been spent as chief executive officer and chairman of Jefferson Davis
Associates, Inc. Prior to founding Jefferson Davis Associates, Inc., Mr. Davis
was associate director and a principal of Frank Magid Associates, a media
research firm headquartered in Marion, Iowa. He was associated with that firm
from 1965 to 1974. During that same period, he was cofounder and president of
Communications Sciences Group, an advertising agency. In 1982, Mr. Davis formed
Policies & Strategies, Inc., a quantitative modeling research firm, together
with six faculty members of the University of Iowa, and in 1986, he founded
World Data, Inc., the fieldwork development firm which serves Jefferson Davis
Associates, Inc.
Mr. Davis is also actively involved in various community and philanthropic endeavors. In 1975, Mr. Davis cofounded and participated in a pioneering youth-mentoring program in Iowa. In 1993, he was one of three initial board members of Youth Services International, Inc., which became a public corporation in 1994, and grew to serve adjudicated and non-adjudicated youth with facilities and programs in 18 states. During his board service at YSI, he also served as chairman of the Programming and Marketing Committee. Mr. Davis has, for 18 years, served as a board member of Four Oaks of Iowa, a not-for-profit child and family service organization which services 2,200 young people annually, with a $34,000,000 annual budget and 640 employees. From 1999 through 2003, Mr. Davis served as a board member of Public School Enrichment Program, an outreach program on the part of Florida Gulf Coast University with the purpose of encouraging and motivating minority group young people to higher academic achievement and a college education. In addition, Mr. Davis has endowed three scholarships at the University of Iowa to be awarded annually to graduating seniors of the high school he attended, and a scholarship at the University of Kansas, which is awarded annually to a graduating senior at the high school his mother attended. These scholarships have honored and benefited more than 70 gifted young people since their inception. Mr. Davis is a resident of Naples, Florida and holds B.A. and M.A. degrees from the University of Iowa in psychology and marketing. |
| Guadalupe “Lupe” DeLaCruz |
Mr. DeLaCruz has been a member of Panther Community Bank’s
board of directors since 2007 and is a longtime resident of Lehigh Acres. Mr.
DeLaCruz has over twenty-five years experience in the drywall & plastering
business and as a commercial and residential real estate developer as the owner,
founder and Chief Executive Officer of DeLaCruz Dry Wall, Plastering & Stucco,
Inc., DeLaCruz Enterprises, Inc., Grand Rental Station and DeLaCruz Properties,
LLC. Mr. DeLaCruz is also a member of Lehigh Acres Chamber of Commerce and is
involved with Lehigh Community Services, an organization that provides
assistance those in need so that they are able to pay for things such as rent,
groceries and utilities. In addition, Mr. DeLaCruz currently serves as President
of the Lee Boulevard Baptist Church. |

Dulce V. Dudley, MD |
Dr. Dudley is a director and organizer of First National Bank of the Gulf Coast,
attending the initial board meeting of First National Bank of the Gulf Coast in
organization on April 17, 2008. Dr. Dudley has been a practicing pediatrician in
Naples for almost 22 years. She is a past president of the Collier County
Medical Society and founding partner of Anchor Health Centers, a multi-specialty
group of more than 60 physicians. Dr. Dudley has been selected by her peers as
one of Collier County’s Top Doctors in the Castle Connolly/Gulfshore Life
Magazine survey every year since 2004. The daughter of Cuban immigrants, Dr.
Dudley was born in New York and raised in the Dominican Republic. She was
educated at The Carol Morgan School of Santo Domingo, studied pre-med at
Universidad Nacional Pedro Henriquez Urena (UNPHU) and received her medical
degree from the Universidad Central del Este(UCE). Dr. Dudley trained at Rush
Presbyterian-St Luke’s Medical Center in Chicago and Miami Children’s Hospital
in Miami, where she completed her pediatric residency. Dr. Dudley serves on the
board of the Boys and Girls Club of Collier County and served on the board of
the American Heart Association for many years. She taught Sunday School at First
Baptist Church and has supported Step by Step Early Development Center,
Children’s Advocacy Council, Young Life of Naples, Young Readers Program of St.
Elizabeth Seton School and Neighborhood Health Clinic, among others. She also
participated in the Leadership Collier Program Class of 2000. In 2001, she was
named Woman of the Year for the Leukemia & Lymphoma Society and one of “n”
Magazine’s Women of Style in 2005. Dr. Dudley is married to Ted Dudley, who has
been a Naples realtor since 1978, and has three stepchildren. |
| Robert M. Feerick |
Mr. Feerick is a director and organizer of First National Bank of the Gulf
Coast, attending the initial board meeting of First National Bank of the Gulf
Coast in organization on April 17, 2008. Mr. Feerick is chairman of Horizon
Partners, Ltd., a private investment holding company that acquires and builds
companies, headquartered in Naples, Florida. Horizon, which is also a founder of
FNB, focuses on the acquisition of medium size companies that are privately-held

significant experience as a director of privately-held companies. He is a
current director of the following companies: Groeb Farms, Inc., the leading
processor of honey, sold as an ingredient, in the United States; Climax Portable
Machine Tools, Inc., a manufacturer and leaser of portable machine tools;
Lantor, Inc., a producer of high performance non-woven textiles; Karl’s Event
Rental, Inc., and Xymox Technologies, Inc., an international membrane switch
manufacturer. Mr. Feerick is a former director of four companies that were sold
to larger corporations.
Mr. Feerick began his career as an associate (1972-1973) in the money management firm of Fayez Sarofim & Co.in Houston, Texas. In this capacity, he researched and analyzed publicly-traded companies for purchase and sale in the firm’s investment portfolios. In 1973, Mr. Feerick joined Frontenac Company, a private investment holding company in Chicago, as a general partner. In this capacity, he was directly responsible for finding, evaluating, and negotiating acquisition and investment transactions for the company. In total, the company made seven acquisitions and private equity investments between 1973 and 1977. In 1977, Mr. Feerick sold his interests in Frontenac to The Laird Norton Company in Seattle, Washington. Shortly thereafter, in 1978, Mr. Feerick joined the former Arthur Young & Co. to head its Midwest Region merger and acquisition practice. In 1982, he founded The Corporate Development Group, an affiliate of Arthur Young, and served as its chairman. He was also a general partner of the firm. Over his ten years with Arthur Young, he assisted approximately 40 corporations and management groups with acquisitions, divestitures, and venture capital investments. | Paulette P. Kempfer |
Ms. Kempfer is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. Ms. Kempfer is the
co-owner, with her husband John, of Kempfer Design Group, an interior design
company based in Naples, Florida. She earned her B.A. degree from Hollin’s
College. Ms. Kempfer served on the board of Sunrise Children’s Foundation whose
primary goal was to raise funds in support of the programs and services of local
charitable organizations which will enhance the learning, growth, and
development of children with special needs in Collier County. In 2000, she was
the chairperson for the NCH Healthcare System Hospital Ball. Ms. Kempfer is the
mother of four children and has been active in the Naples community since she
arrived in 1985. She volunteered at the Community School of Naples and assisted
with fundraising to benefit the scholarship program. She was also active with
Step by Step and Youth Haven. Ms. Kempfer is a member of Old Collier Golf Club
and LaPlaya Beach Club. Currently, Ms. Kempfer serves on the board of the

Mr. Kerschner served as Chairman and director of Panther
Community Bank since 2007 and is currently serving as Vice Chairman and director
of First National Bank of the Gulf Coast since the merger was completed in
October, 2009. He has been involved in the banking industry since 1974. Mr.
Kerschner is currently President and CEO of Gillmor Financial Services, Inc. and
has previously served as President and CEO of Old Fort Banking Corporation and
CEO of Tiffin Savings Bank. Mr. Kerschner has also successfully completed and
taught several courses for the BancOhio Educational Center, in addition to
completing various American Institute of Banking certification courses and the
Prochnow Graduate School of Banking at the University of Wisconsin. Mr.
Kerschner is extensively involved in the community and has served on many boards
and committees, including those of the Community Bankers Association of Ohio,
the Ohio Bankers League, the Independent Community Bankers Association, the
Federal Legislative Committee, the Great Lakes Bankers Bank, the Tiffin Area
Chamber of Commerce, the Seneca Industrial and Economic Development Corporation,
the Seneca County United Way, the St. Francis Nursing Home, Seneca Career
Systems, and Tiffin Theatre, Inc. (Ritz). In addition, he is a trustee for
Heidelberg College and serves on the Finance Committee of St. Mary’s Church of

is the former President and CEO of Vermont Gas Systems, Inc. in Burlington,
Vermont, where he led the company of over 40,000 customers and 100 employees
from 1990 through 2001. Mr. Kimbell has also served on numerous boards of
directors including those of Vermont Gas Systems, Eastern Bancorp, the YMCA,
Medical Center Hospital, the United Way, the Vermont Business Roundtable, the
New England Gas Association and the American Gas Association. Mr. Kimbell holds
a Bachelor’s degree in Human Relations from Salem College in West Virginia and a
Master’s in Business Administration from Fairleigh Dickinson University, and is
actively involved with Junior Achievement of Southwest Florida and the Lehigh
Acres Chamber of Commerce.

Mr. Lindsay is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. Mr. Lindsay has been a
self-employed realtor based in Naples, Florida, since 1981 and is a member of
the Naples Area Board of Realtors, the National Association of Realtors and the
Florida Association of Realtors. He has held various board positions with
financial institutions. Mr. Lindsay was a director of Southwest Banks, Inc. from
1989 through 1997, at which time Southwest Banks was acquired by F.N.B.
Corporation. Mr. Lindsay then served as a director of F.N.B. Corporation from

Mr. Mace is a director and organizer of First National

owner of Edward J. Mace, Certified Public Accountant, a sole proprietorship,
since 1985.He also is the chief operating officer of Ribek Corporation, an
Investment Management Entity, a position that he has held since 1982. Mr. Mace
has held various Board positions with financial institutions for almost 20
years. He was a director of Southwest Banks, Inc. from 1989 through 1997, at
which time Southwest Banks was acquired by F.N.B. Corporation. Mr. Mace then
served as a director of F.N.B. Corporation from 1997 through December 2003, and
was also the chairman of the Audit Committee during this time. He resigned from
the board in connection with the spin-off of First National Bankshares of
Florida, Inc. from F.N.B. Corporation. Mr. Mace then served on the board and as
chairman of the Audit Committee of First National Bankshares of Florida, Inc.,
as well as a board member of its lead banking affiliate, First National Bank of
Florida. He held these positions from August 2003 through December 2004. In
January of 2005, he became a member of the Fifth Third Bancorp Florida affiliate
board of directors. He held this position until June of 2006. Mr. Mace currently
serves as vice chairman of the finance committee of First Baptist Church –
Naples and has served as a director and treasurer of the Sunrise Children’s

Ms. Miller served as a director of Panther Community Bank

co-owner and the Vice President for Community & Employee Relations at Roppe
Holding Company. This firm owns and operates several floor covering
manufacturing facilities in Ohio, Alabama and Florida along with a local “good
news only” newspaper and an AM/FM radio station in Fostoria, Ohio. Ms. Miller’s
community involvement includes the Greater Fostoria Community Foundation Board,
the Ritz Theatre Board, the Zero Tolerance Drug Task Force Committee in
Fostoria, Ohio, the Hancock County Port Authority Board in Findlay, Ohio and the

Mr. O’Reilly is a director and organizer of First National

the owner/operator and treasurer of Adams & O’Reilly, Inc. dba McDonalds. He and

He was a founder, director and President and CEO of First National Bank of Florida until it was acquired in 2004 by Fifth Third Bancorp. After a brief tenure with Fifth Third Bank, he was elected to the Florida House of Representatives. After one term in the House, he was elected to the Florida Senate. He is currently the Chairman of the Senate Banking and Insurance Committee. He also serves on the Senate Select Committee for Florida's Economy, the Judiciary Committee and the Ethics and Elections Committee, along with other committee and appropriation assignments. Mr. Richter served with the 75th Ranger Company in Vietnam in 1970 and 1971. He was awarded a Bronze Star and a Combat Infantry Badge for his Vietnam service. He is a graduate of the University of Pittsburgh and of the Graduate School of Banking at Madison, Wisconsin. He has lectured at both the LSU Graduate School of Banking in Baton Rouge, LA and the Florida School of Banking in Gainesville, FL. He has been involved with numerous community organizations, including his role as a founding trustee of the Quest for Success organization which focuses on improving the life of a child through education. Mr. Stout also serves as an elected commissioner of the East County Water

member of several local organizations including the Lehigh Regional Medical

| Gary L. Tice |
Mr. Tice is a director and organizer of First National
Bank of the Gulf Coast, attending the initial board meeting of First National
Bank of the Gulf Coast in organization on April 17, 2008. Director and organizer
of FNB, Mr. Tice is the Chairman and Chief Executive Officer of the bank. Mr.
Tice has been involved in banking in the State of Florida for more than 30
years. Most recently, he served as Chairman of First National Bankshares of
Florida, Inc., a Naples-based financial services company with $5.3 billion in
assets and 77 full-service banking centers. First National Bankshares was the
largest publicly traded bank holding company headquartered in the State of
Florida when it was acquired by Fifth Third Bancorp in 2005. Prior to that, Mr.
Tice was president and chief executive officer of F.N.B. Corporation, a
diversified financial services holding company with offices in Florida,
Pennsylvania, Ohio and Tennessee. During his tenure with F.N.B. Corporation, the
company grew to more than $8.1 billion in total assets. In 2004, F.N.B.
Corporation spun off its Florida banking operations into a separate company, of
which Mr. Tice became chairman and chief executive officer. In addition, Mr.
Tice and director Garrett Richter were founding directors and organizers of
First National Bank of Naples, where he served as chairman and chief executive
officer of the company prior to its affiliation with F.N.B. Corporation in 1997. Mr. Tice has held senior management positions with a number of other Florida banks, including Citizens National Bank of Naples, where he was an organizing director, president and chief executive officer, Sun Bank of Naples, as its executive vice president and chief administration officer and Flagship National Bank of Naples, as its executive vice president. In 2003, Mr. Tice was honored as a finalist for the Financial Services category in the Ernst & Young Entrepreneur of the Year Florida Awards program. He was chosen by an independent panel of judges for outstanding leadership and consistent growth of F.N.B. Corporation. In 1998, Mr. Tice was named to the Collier County Junior Achievement Business Leadership Hall of Fame for service as a “champion of free enterprise.” A native of Sharpsville, Pennsylvania, Mr. Tice is a graduate of Youngstown State University with a B.S. degree in industrial management. Zellers |
Mr. Zellers is a director and organizer of First National Bank of the Gulf
Coast, attending the initial board meeting of First National Bank of the Gulf
Coast in organization on April 17, 2008. Mr. Zellers was born in Pompano Beach,
Florida, and relocated to Naples in 1972. Mr. Zellers graduated from Naples High
School and the Ford Marketing Institute in Atlanta, Georgia. He has worked
full-time at Tamiami Ford since 1976. Mr. Zellers is active in his local Church,
having served on various committees and boards at New Hope Ministries and
Parkway Community Church in Naples. He is also active in many local charities
such as Saint Mathews House, Immokalee Mission, and Habitat for Humanity, and
currently serves on the board for Light to the Nations, a faith based
organization based in Ft. Myers, Florida. He has acted as the contractor for the
construction of three homes, three large dealership projects, and a shopping
center. Mr. Zellers has a wealth of knowledge of the businesses and property in
and around Naples, and is the chief executive officer of Tamiami Ford, managing
three locations and 155 employees. He also purchased the Hyundai and Mitsubishi
dealership in December 2008 which sell new and preowned vehicles as well as
service and parts, employing 60 full time staff. |

Mr. Smith was recently appointed as an honorary director of Panther Community
Bank’s board of directors. He is currently serving as a director of First
National Bank of the Gulf Coast since the merger was completed in October, 2009.
Mr. Smith founded Climate Control Systems, Inc., a mechanical contracting firm
specializing in air conditioning and heating, in August of 1966. Mr. Smith
served as the President and was sole proprietor of the company. Based in Lehigh
Acres, Florida, the company was in continuous operation until March 12, 2008,
when it was sold to Direct Energy, Inc.
IIn 1976, Mr. Smith founded Rivergrove, a citrus-growing company located in Hendry County. Now in its 33rd year of operation, the company is primarily involved in the growing of fruit for the processed citrus market. In 2001, Mr. Smith established EAS Investments, LLC, a land-holding and investments company, with interests in Hendry County. In 2008, Rivergrove Ventures, Inc. was formed as a result of the sale of Climate Control Systems, Inc. and functions presently as the entity under which commercial property is managed. All companies are managed by Mr. Smith. |
| Robert T. Reichert |
Mr. Reichert attended the initial board meeting of First National Bank of the
Gulf Coast in organization on April 17, 2008. Mr. Reichert is Senior Executive
Vice President and Chief Administrative Officer and is an honorary director and
organizer of FNB. Mr. Reichert has held various management positions within the
financial industry. Most recently, Mr. Reichert held the position of executive
vice president and chief financial officer of Lydian Trust Company, from October
2005 through August 2007. After spending 12 years with Ernst & Young LLP, he
joined F.N.B. Corporation in 1996 and held the position of senior vice president
and controller, and was responsible for holding company and affiliate bank
financial accounting, reporting and asset and liability management. In 2003 Mr.
Reichert was appointed senior vice president and chief financial officer of
First National Bankshares of Florida prior to its spin-off from F.N.B.
Corporation on January 1, 2004. In January 2005, First National Bankshares of
Florida was acquired by Fifth Third Bancorp. At that time Mr. Reichert was named
senior vice president and affiliate chief financial officer for the Florida
market. He remained with Fifth Third Bank through August 2005. Mr. Reichert
obtained his B.S. degree from Clarion University of Pennsylvania, and was a
certified public accountant from 1987-2000. |

Mr. Coghill attended the initial board meeting of First National Bank of the
Gulf Coast in organization on April 17, 2008. Mr. Coghill is Senior Executive
Vice President and Chief Credit Officer of the Bank and is an honorary director
and organizer of FNB. Mr. Coghill has been involved in the banking industry for
over forty years. He began his career as a national bank examiner and has held
various management level positions within the industry including chief credit
officer of F.N.B. Corporation and executive credit officer of First National
Bank of Florida. Mr. Coghill also served as area president and senior loan
officer for Community National Bank. While Mr. Coghill was chief credit officer
of First National Bank of Florida, the bank earned the highest credit quality
rating awarded by the OCC for banks with assets between $3 billion and $20
billion. Mr. Coghill is a graduate of East Carolina University with B.A. degree
in business administration. He was the past chairman of Group 9 and a past
council member of the Florida Bankers Association. He served as president and on
the advisory board of the Southwest Florida AIB Chapter and also as the
president of the Southwest Florida Bank Executives Roundtable. Mr. Coghill is
also active in the community and has served as the treasurer of the United Way
of Lee County, treasurer of the Pelican Bay Rotary Club, and finance chairman of
the North Naples United Methodist Church. |

Mr. Gomer attended the initial board meeting of First National Bank of the Gulf
Coast in organization on April 17, 2008. Mr. Gomer is an honorary director and
organizer of FNB, resides in Cape Coral, Florida and has been involved with the
banking industry in this community for over 40 years. He is extremely familiar
with the area and understands the residents’ and the community’s needs. Mr.
Gomer was the president and chief executive officer of Cape Coral Bank and Trust
from 1966 to 1981. He was also an organizing director, president and chief
executive officer of both Community National Bank from 1985 to 1991 and Cape
Coral National Bank from 1994 to 2002. Cape Coral National Bank was an affiliate
of Southwest Banks, Inc. and was merged into its sister bank, First National
Bank of Florida, in 1999. Mr. Gomer continued as chief executive officer until
his retirement in 2002. Mr. Gomer is also the managing partner of various real
estate companies, including Mid-Point Plaza, LLC, Santa Barbara Center, LLC and
Seventh Terrace Partners, LLC. Mr. Gomer was recently re-elected to serve as a
trustee of LCED, and electric co-operative located in Lee County. This electric
company has over 200,000 customers residing in Lee and Collier Counties. He has
served as a trustee of this company for the past 23 years. Prior to his
retirement, Mr. Gomer was involved in many non-profit organizations in Cape
Coral. |
| Daniel Patnode |
Mr. Patnode attended the initial board meeting of First National Bank of the
Gulf Coast in organization on April 17, 2008. Mr. Patnode is an honorary
director and organizer of FNB. In addition, he has been the vice president,
secretary, treasurer, and 50% owner of Patnode Roofing, Inc., a roofing
contractor in Southwest Florida, since 1982. He has also been the manager and
50% owner of Patnode & Patnode, LLC, a real estate rental company, since 1984.
Mr. Patnode has been a resident of Southwest Florida for over 50 years and
understands the community and is a well respected businessman. |
